This Agreement is between Digistar Technology (“Digistar”, the “Company”, “we”, “us”, “our”) and the individual or entity accessing this website (“you”). The effective date of this Agreement is the time at which you first access or use the website.

By using this website, you consent to the exchange of information and documents electronically over the Internet or by email and agree that this electronic Agreement has the same legal effect as a written paper agreement.

1. Ownership and Copyright

All information, content, reports, data, databases, graphics, interfaces, web pages, text, files, software, product names, company names, trade-marks, logos, and trade-names contained on this website (collectively, the “Content”), including the manner in which the Content is presented or appears and all information relating thereto, are the property of Digistar or its licensors, and are protected by copyright, trade-mark, and other intellectual property laws. All rights not expressly granted are reserved.

2. Limited Licence (Permitted Use)

Digistar grants you a personal, non-exclusive, non-transferable, revocable licence to access, view, and download one copy of the publicly available Content for your internal, informational use only, strictly in accordance with this Agreement.

3. Restrictions on Use

You shall not (and shall not permit any person to):

distribute, publish, broadcast, or otherwise make the Content available beyond the limited licence above (including compiling an internal database or redistributing via press, media, networks, or platforms);

create derivative works of, reverse engineer, decompile, disassemble, adapt, translate, modify, copy, bundle, sell, sublicense, export, merge, transfer, loan, rent, lease, assign, share, outsource, host, or otherwise use the Content, in whole or in part, in any form or by any means, except as expressly permitted herein; or

remove, obscure, or alter any proprietary notices on the website or in the Content.

Any restrictions that are prohibited by applicable law will apply to the maximum extent permitted by such law.

Except for personal information (which is handled under Digistar’s Privacy Policies), any information or content you submit on or through this website (including by email or forms), such as ideas, concepts, inventions, know-how, techniques, feedback, or materials (“Submissions”), will be deemed non-confidential and non-proprietary. You grant Digistar a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable, non-exclusive licence to use, reproduce, publish, bundle, distribute, market, create derivative works from, adapt, translate, transmit, arrange, modify, host, and otherwise exploit such Submissions for any purpose. You represent and warrant that you have all rights necessary to grant this licence.

5. Personal Information and Privacy

Digistar may collect, use, and disclose personal information as described in our Website Privacy Policy and External Privacy Policy, which are incorporated by reference and available at https://digistar.ai/privacy-policy/. By using this website, you consent to Digistar’s handling of personal information in accordance with those policies, including any cross-border transfers to third-party service providers (such as NinjaOne in the United States) as described therein. You may exercise access/correction rights and manage consent as set out in those policies.

No Professional Advice; No Reliance. The Content is provided for general informational purposes only and does not constitute professional advice of any kind. You should not act or rely on any Content without seeking appropriate professional advice tailored to your circumstances.

Content “As Is”. The website and Content are provided “as is” and “as available” without any representations, warranties, or conditions of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of accuracy, completeness, currentness, reliability, timeliness, non-infringement, merchantability, fitness for a particular purpose, availability, or error-free operation.

Limitation of Liability. Liability Cap. To the fullest extent permitted by law, Digistar’s total cumulative liability arising from or related to this Agreement, the website, or the Content will not exceed CAD $[●] (or, if consideration is payable for access, the fees paid by you for access to the website in the twelve (12) months preceding the event giving rise to the claim), whichever is greater.

Some jurisdictions do not allow limitations on implied warranties or exclusion/limitation of certain damages. To the extent such laws apply, the above exclusions and limitations will apply to the maximum extent permitted.

8. Indemnity

You agree to indemnify, defend, and hold harmless Digistar, its affiliates, licensors, suppliers, and their respective directors, officers, employees, and agents from and against any and all claims, liabilities, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your Submissions; (b) your use or misuse of the website or the Content; or (c) your breach of this Agreement or violation of third-party rights.

9. Termination; Suspension

This Agreement is effective until terminated. Digistar may suspend or terminate your access to the website (in whole or in part) at any time, with or without cause or notice, without liability to you. Upon termination, your licence to use the website and Content ceases immediately. Sections that by their nature should survive (including ownership, submissions licence, disclaimers, limitations of liability, indemnity, governing law, and interpretation) will survive termination.

10. Electronic Communications; Records

You consent to receive communications from us electronically and agree that all terms, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. Digistar may maintain electronic records of your acceptance of this Agreement.

11. Governing Law; Jurisdiction; Language

This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You irrevocably submit to the exclusive jurisdiction of the courts of Ontario for any dispute arising out of or relating to this Agreement, the website, or the Content. We have required that this Agreement and all related documents be drawn up in English.

12. Changes to this Agreement

Digistar may amend this Agreement at any time by posting an updated version on this website with an updated Effective Date. Your continued access to or use of the website following any amendment constitutes your acceptance of the amended Agreement. If you do not agree to an amendment, you must stop using the website.

13. Interpretation

Headings are for convenience only and do not affect interpretation. Words importing the singular include the plural and vice versa; words importing gender include all genders; words importing persons include individuals and legal entities. All monetary amounts are in Canadian dollars (CAD) unless stated otherwise.

14. Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

15. Entire Agreement; No Waiver; Assignment

This Agreement, together with the Website Privacy Policy and External Privacy Policy, constitutes the entire agreement between you and Digistar regarding the website and the Content and supersedes all prior or contemporaneous understandings on that subject. No waiver is effective unless in writing and signed by Digistar. You may not assign this Agreement without Digistar’s prior written consent. Digistar may assign this Agreement without notice.
