Website Hosting Agreement

This Website Hosting Agreement (“Agreement”) is entered into by and between Digistar Infotech Inc., a Canadian IT company located in [insert location, Canada] (“Provider”), and you (“Client”). This Agreement sets forth the terms and conditions for the website hosting services provided by Digistar Infotech Inc. By using our hosting services, you agree to comply with and be bound by the terms of this Agreement.

1. Services Provided

Provider agrees to offer website hosting services, which include the storage of the Client’s website files, email services, bandwidth allocation, and server management. Provider will make reasonable efforts to ensure continuous access to the Client’s website, barring circumstances outside of Provider’s control, such as internet disruptions, equipment failures, and other force majeure events.

2. Term and Renewal

This Agreement is effective as of the date the Client subscribes to the hosting service and will continue for an initial term of one year unless otherwise specified in the service plan. Upon completion of the initial term, the Agreement will automatically renew on a month-to-month basis unless either party provides a written notice of cancellation at least 30 days prior to the renewal date.

3. Payment and Fees

The Client agrees to pay all fees associated with the selected hosting plan. Payments are due in advance on a monthly, quarterly, or annual basis, as specified in the plan. Failure to pay within ten (10) days of the due date may result in account suspension. Provider reserves the right to modify fees, provided that such changes will be communicated to the Client at least 30 days before implementation.

4. Client Responsibilities

Content: The Client is solely responsible for the content of their website, including the legality, reliability, and appropriateness of the information, text, graphics, and other materials.

Compliance: The Client agrees to comply with all applicable laws and regulations and refrain from hosting illegal, harmful, or abusive content.

Account Security: The Client is responsible for maintaining the confidentiality of login information. Any activity under the Client’s account is their responsibility.

5. Provider’s Responsibilities

Provider will provide technical support, monitor server performance, and manage all back-end hosting operations to ensure high-quality service. However, Provider does not guarantee uninterrupted or error-free service but will make reasonable efforts to minimize disruptions.

6. Suspension and Termination

Provider reserves the right to suspend or terminate the hosting service if the Client violates any terms of this Agreement, including but not limited to non-payment, use of services for illegal activities, or exceeding bandwidth or storage limits without prior arrangement.

7. Limitation of Liability

Under no circumstances shall Provider be liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use the hosting service. The Client acknowledges that hosting interruptions may occur due to maintenance or unexpected disruptions, for which Provider is not responsible.

8. Indemnification

The Client agrees to indemnify and hold harmless Provider, its affiliates, and employees from any claims, losses, damages, liabilities, and expenses arising from the Client’s use of the hosting services.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Canada. Any disputes arising from this Agreement shall be resolved in the courts of [Province/City, Canada].

10. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding website hosting services. Any modifications or amendments must be in writing and signed by both parties.

11. Acceptance

By using the hosting services provided by Digistar Infotech Inc., the Client acknowledges that they have read, understood, and agreed to be bound by the terms of this Agreement.
