Terms & Conditions at Digistar Infotech Inc.

Welcome to Digistar Infotech Inc. (“Company,” “we,” “us,” or “our”). By accessing or using our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.
This document outlines the terms and conditions under which Digistar Infotech Inc., an IT company based in Canada, provides services including but not limited to graphic design, web development, digital marketing, cybersecurity, DevOps, .NET development, and data analysis.
1. Definitions
- Client: Refers to any individual or entity engaging Digistar Infotech Inc. for its services.
- Services: Refers to the IT-related solutions provided by the Company, as detailed in the scope of work or agreements.
- Deliverables: Refers to the final products or services delivered to the Client as per the agreed scope of work.
2. Scope of Services
Digistar Infotech Inc. agrees to provide professional IT services as per the agreement signed with the Client. Any changes to the scope of services must be mutually agreed upon in writing and may be subject to additional charges.
3. Client Responsibilities
To ensure the successful completion of the project, the Client agrees to:
- Provide timely and accurate information, materials, and feedback.
- Ensure the legality and appropriateness of all data provided to Digistar Infotech Inc.
- Comply with all applicable laws and regulations in connection with the use of our services.
4. Payment Terms
- Invoices: Invoices will be issued as per the agreed payment schedule.
- Payment Due: Payments are due within 15 days from the date of invoice.
- Late Payment: A late payment fee of 15 may apply to overdue invoices.
- Additional Costs: The Client agrees to bear additional costs arising from changes in the project scope, third-party tools, or services.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the project. This obligation shall remain in effect even after the termination of the contract.
6. Intellectual Property Rights
- All intellectual property created by Digistar Infotech Inc. during the project shall remain the property of the Company until full payment has been made.
- Upon receipt of full payment, the Client will receive ownership of the deliverables unless otherwise specified.
- The Company reserves the right to showcase completed projects in its portfolio unless the Client explicitly requests otherwise.
7. Warranties and Disclaimers
- Digistar Infotech Inc. will make reasonable efforts to deliver high-quality services. However, the Company does not guarantee specific outcomes or results unless explicitly agreed upon in writing.
- The Company disclaims any liability for issues arising from third-party services, tools, or platforms used during the project.
8. Limitation of Liability
To the fullest extent permitted by law:
- Digistar Infotech Inc. shall not be held liable for any indirect, incidental, or consequential damages.
- The maximum liability of the Company for any claims arising out of its services is limited to the total amount paid by the Client for those services.
9. Termination
- By the Client: The Client may terminate the agreement by providing 15 days’ written notice.
- By the Company: The Company reserves the right to terminate the agreement immediately if the Client breaches these terms or fails to make timely payments.
- Upon termination, the Client must pay for all services rendered up to the date of termination.
10. Governing Law
These terms shall be governed by and construed in accordance with the laws of Canada. Any disputes shall be resolved in the courts of Canada.
11. Force Majeure
The Company shall not be liable for delays or failure in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, labor strikes, or governmental actions.
12. Amendments
Digistar Infotech Inc. reserves the right to amend these Terms and Conditions at any time. Changes will be communicated to the Client, and continued use of our services constitutes acceptance of the updated terms.
13. Entire Agreement
These Terms and Conditions, along with any written agreements or statements of work, constitute the entire agreement between the parties and supersede all prior understandings.
